{"id":1200,"date":"2016-08-04T15:07:58","date_gmt":"2016-08-04T19:07:58","guid":{"rendered":"http:\/\/interact-tv-inc.com\/info\/?p=1200"},"modified":"2016-08-05T15:12:55","modified_gmt":"2016-08-05T19:12:55","slug":"interact-tv-inc-acquires-natural-tone-entertainment-llc","status":"publish","type":"post","link":"https:\/\/interact-tv-inc.com\/info\/interact-tv-inc-acquires-natural-tone-entertainment-llc\/","title":{"rendered":"Interact-TV, Incorporated Acquires Natural Tone Entertainment LLC"},"content":{"rendered":"<p style=\"text-align: justify;\">The board of directors announced today that Interact-TV, Incorporated (ITVI) has signed an acquisition agreement in which it acquires 100% of Natural Tone Entertainment (NTE) outstanding membership interest.<\/p>\n<p style=\"text-align: justify;\">The acquisition agreement is between ITVI and the owner of 100% of NTE\u2019s membership interest. The transaction is a share exchange with NTE\u2019s shareholder receiving 1,000,000 (100%) of ITVI\u2019s Preferred I shares, a special class of ITVI preferred shares, which gives NTE\u2019s\u00a0 former shareholders the right to control most issues to do with ITVI\u201ds new subsidiary, not otherwise regulated by Delaware law.<\/p>\n<p style=\"text-align: justify;\">NTE is a new production company headed by Dr. Michael Pinkus, who is responsible for creating products which have sold an estimated $500 million+ in direct marketing sales via Non Commercial programming channels, Documercials and Infomercials.<\/p>\n<p style=\"text-align: justify;\">NTE produced Justin Hayward&#8217;s (Lead Singer of <em>The Moody Blues<\/em>) PBS show, which is under contract until March, 2017.\u00a0 NTE also produced a series of live concerts, interviews and republished works from Justin Hayward.\u00a0 NTE is the copyright holder on these properties.<\/p>\n<p style=\"text-align: justify;\">NTE is currently negotiating the next Justin Hayward concert for Public Television, &#8220;Justin Hayward Celebrates 50 Years of Moody Blues Hits&#8221;.\u00a0 The show is tentatively set to shoot in Nov 2016 and airing March, 2017 on Public Television.<\/p>\n<p style=\"text-align: justify;\">NTE is also working with IM3 Productions on full-feature movie,\u00a0<em>Wind of Heaven.<br \/>\n<\/em><\/p>\n<p style=\"text-align: justify;\">NTE\u2019s pre-production slate includes a health TV show featuring, Dr. Michael Pinkus, himself, tentatively called\u00a0<em>Let&#8217;s Talk Health, <\/em>and an NPR radio show, interviewing national acts and musicians.<\/p>\n<p>In addition to the acquisition of NTE from Dr. Michael Pinkus, ITVI announced a separate consulting agreement with Dr. Pinkus to head up a new division of ITVI to develop and coordinate direct marketing via non-commercial, documercial, and infomercial programming for all of ITVI\u2019s entertainment subsidiaries artists.
