The board of directors announced today that Interact-TV, Incorporated (ITVI) has signed an acquisition agreement in which it acquires 100% of Natural Tone Entertainment (NTE) outstanding membership interest.

The acquisition agreement is between ITVI and the owner of 100% of NTE’s membership interest. The transaction is a share exchange with NTE’s shareholder receiving 1,000,000 (100%) of ITVI’s Preferred I shares, a special class of ITVI preferred shares, which gives NTE’s  former shareholders the right to control most issues to do with ITVI”s new subsidiary, not otherwise regulated by Delaware law.

NTE is a new production company headed by Dr. Michael Pinkus, who is responsible for creating products which have sold an estimated $500 million+ in direct marketing sales via Non Commercial programming channels, Documercials and Infomercials.

NTE produced Justin Hayward’s (Lead Singer of The Moody Blues) PBS show, which is under contract until March, 2017.  NTE also produced a series of live concerts, interviews and republished works from Justin Hayward.  NTE is the copyright holder on these properties.

NTE is currently negotiating the next Justin Hayward concert for Public Television, “Justin Hayward Celebrates 50 Years of Moody Blues Hits”.  The show is tentatively set to shoot in Nov 2016 and airing March, 2017 on Public Television.

NTE is also working with IM3 Productions on full-feature movie, Wind of Heaven.

NTE’s pre-production slate includes a health TV show featuring, Dr. Michael Pinkus, himself, tentatively called Let’s Talk Health, and an NPR radio show, interviewing national acts and musicians.

In addition to the acquisition of NTE from Dr. Michael Pinkus, ITVI announced a separate consulting agreement with Dr. Pinkus to head up a new division of ITVI to develop and coordinate direct marketing via non-commercial, documercial, and infomercial programming for all of ITVI’s entertainment subsidiaries artists.
